A vdr system is similar to the black box of an aeroplane, which stores many kinds of information that can be retrieved and analysed in the event of an accident at sea. The system is made up of a unit that collects data with sensors onboard, and capsules that safeguard the data. It is designed to withstand shock, fire, deepsea pressur, and penetration. It is equipped with a satellite-locatable communications unit that is connected to the ship’s Emergency Position Reporting System (EPIRB).

IMO regulations stipulate that the system must be equipped with a Concentrator that is able to process and decrypt the data from the sensors, and an end-to-end recording medium that stores it in a fixed and retrievable capsule, which is able to withstand a catastrophic accident at sea. It should include the capability to conduct an examination of performance at any time, whether annually or following repair or maintenance work on the VDR and/or signal sources which provide data to it.

A good VDR should have a mobile-first style so that parties can sign in and access documents on laptops, desktops tablets and mobile devices and still retain the essential functionality. Make sure the software is easy to use, which will speed up due diligence and deal-making.

You should look for look for a VDR with page-level monitoring of user activity to generate audit trails, and provide business intelligence on document review progress. For example, if notice that HR and legal due diligence teams are spending most of their time reviewing documents on a particular topic you can pinpoint any liability issues early and address them in a proactive manner.
